  • Transaction advances Magellan’s collaborative care strategy and provides a scalable virtual platform to enter new markets and expand access to members in need

--(BUSINESS WIRE)--Dec. 22, 2020-- (NASDAQ: MGLN) (“Magellan”), one of the nation’s leaders in managing complex, high cost healthcare, today announced it has completed the acquisition of a 70 percent interest in (“Bayless”), a leading integrated outpatient behavioral health and primary care provider in .

Founded in 1982, the Bayless integrated care model offers physical, emotional, behavioral, and addiction healthcare services supported by 330 employees, including 175 providers, across eight locations in central . Bayless’s practice integrates primary care physicians with behavioral health providers and population health caregivers and has expanded rapidly in recent years due to strong payer relationships and increases in staff, locations, and patient demand. Bayless has a rich tradition serving the Medicaid population as a network provider for many of the managed care plan participants in Arizona’s Medicaid program for over 30 years.

In addition, Bayless is designated as a accredited telehealth provider and offers telehealth services statewide in . Bayless will serve as a growth platform for Magellan to enter new geographies as a partner to, or a provider of, integrated primary care and behavioral health in support of the Company’s collaborative care model, Magellan Connect. The partnership between Magellan and Bayless will help expedite Magellan’s strategy to scale an industry-leading, technology-enabled, integrated care model.

“We are excited to welcome to because the organization brings important new provider capabilities and insights to Magellan’s reimagined behavioral health strategy. "I'm excited about this new journey with , not only because of Magellan's commitment to serving complex populations and forward-thinking solutions to some of our country's most challenging healthcare issues but because this furthers our ability to take the Bayless model into new markets. Now we have a larger, more direct path to improving lives and transforming healthcare. Our Bayless team will continue delivering exceptional care to our clients. Nothing changes locally with the exception of our ability to tap into Magellan resources, which will enhance and strengthen our client and provider relationships.”

“We look forward to working with Justin who remains CEO of Bayless and will lead the initiative to scale the Bayless model across new geographies,” said Fasola. “This includes the development of clinical and operational best practices supported by a technology platform that integrates clinical capabilities and could serve the needs of preferred partners.”

Today we’d like to introduce you to Justin Bayless.

Justin, please share your story with us. How did you get to where you are today?
I’m a native Phoenician and started accompanying my father, Dr. Michael Brad Bayless, with Bayless Healthcare from the time I was nine-years-old.

I attended St. Mary’s High School in Central Phoenix and then matriculated to Morehouse College in Atlanta, Georgia on a presidential scholarship where I graduated with academic merits, including Phi Beta Kappa, Beta Gamma Sigma, and Omicron Delta Kappa. After Morehouse, I continued my career in business with Morgan Stanley as an Investment Banker in New York City.

After being recruited by my father, I returned to work at Bayless Healthcare in mid-2008. I initially served as Vice President and Chief Financial Officer until being promoted to President and CEO in 2010. Under my leadership, Bayless Integrated Healthcare has pioneered the way to incorporating the most important healthcare services under one roof: primary care and behavioral health. While most patients have to patronize multiple locations for healthcare services, Bayless has created a proprietary model of wellness that incorporates addressing the mind and the body as equally important.

Great, so let’s dig a little deeper into the story – has it been an easy path overall and if not, what were the challenges you’ve had to overcome?
Absolutely not! My father retiring was the first major obstacle, as he had a team committed to his vision which was very different from where I wanted to take the company. I then had to create a culture for integrated healthcare in which no model existed for me to emulate. We then acquired a physician pediatric medicine practice which ended up being a total disaster from a cultural perspective with their staff and ours. I tell people all the time that I had hair before the acquisition in 2013! However, it ended up being a blessing in disguise, as it motivated me and mandated that we take a deep look at how we provide healthcare. Ultimately, the struggles along the way helped us form the model that we have in place today.

Alright – so let’s talk business. Tell us about Bayless Integrated Healthcare – what should we know?
As a truly integrated service provider for all ages and socio-economic classes, Bayless offers family medicine, emotional and behavioral healthcare, addiction treatment, and social healthcare services to families and children, adults, the elderly, and the community. We apply our core values to all that we do, so that everything from our daily guiding principle to our tactical management techniques are built on compassion, adaptability, innovativeness, reliability, and relentlessness.

We differentiate ourselves by offering a broad range of services for both the whole body and mind, from infancy through late adulthood, with delivery methods that are proven as well as progressive. Our multiple specialties also incorporate new technologies that help provide an enhanced patient experience.

What has been the proudest moment of your career so far?
Opening our flagship clinic, Bayless Integrated Health Center, in May 2017 was a very proud moment for me. We established our expertise in integrated healthcare along with a matching state-of-the-art healthcare facility. It was also 35 years from when my late father started practicing on the same street in 1982. I call it the transition from forensic to family medicine.

  • Bayless offers a unique self pay program in which access to healthcare is made affordable with office visits starting at just $79.
